Persetujuan ini diperoleh melalui Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) yang diselenggarakan Perseroan, di Jakarta, Jumat (27\/2\/2026).<\/p>\n\n\n\n<p>\u201cPerseroan menilai perlu untuk melaksanakan PMHMETD dalam rangka optimalisasi struktur pendanaan terkait Pengambilalihan PT Cimanggis Cibitung Tollways (CCT),\u201d kata Direktur Utama & CEO BNBR Anindya N. Bakrie kepada wartawan, usai RUPSLB.<\/p>\n\n\n\n<p>Melalui mekanisme PMHMETD ini, Perseroan akan menerbitkan saham baru seri E sebanyak-banyaknya 90 miliar saham. Saham baru tersebut akan dikeluarkan dari portepel Perseroan dan akan dicatatkan di PT Bursa Efek Indonesia (\u201cBEI\u201d) sesuai dengan peraturan perundangan yang berlaku,<\/p>\n\n\n\n<p>\u201cPerseroan akan menggunakan seluruh dana yang diterimanya dari PMHMETD untuk\npembayaran kewajiban Perseroan dan\/atau anak perusahaan kepada kreditur, serta untuk modal kerja dan pengembangan usaha di Perseroan dan\/atau anak perusahaan, termasuk CCT,\u201d tambah Anin.<\/p>\n\n\n\n<p>Anin menambahkan, Perseroan berkeyakinan bahwa rencana PMHMETD dapat berdampak positif terhadap kinerja keuangan Perseroan, memperkuat kinerja operasional dan struktur permodalan Perseroan.<\/p>\n\n\n\n<p>\u201cSelain itu, penambahan modal juga dapat meningkatkan kemampuan Perseroan untuk melakukan ekspansi usaha, yang pada akhirnya akan berdampak positif pada laba Perseroan dan diharapkan dapat meningkatkan imbal hasil nilai investasi bagi seluruh pemegang saham Perseroan,\u201d kata Anin.<\/p>\n\n\n\n<p>Setelah aksi ini, lanjut Anin, rasio total pinjaman terhadap total aset turun dari sebesar 84,28% sebelum PMHMETD menjadi sebesar 67,9% setelah PMHMETD. Hal Ini menunjukkan bahwa setelah PMHMETD, komposisi aset Perseroan yang didanai dengan ekuitas menjadi lebih besar sehingga kontribusi kepada bagian pemegang saham dari kinerja aset-aset Perseroan menjadi lebih besar.<\/p>\n\n\n\n<p>\u201cSelain itu, penurunan rasio ini memberikan Perseroan fleksibilitas yang lebih tinggi untuk ekspansi dan perolehan modal kerja dari tambahan pendanaan eksternal apabila diperlukan,\u201d terang Anin.<\/p>\n\n\n\n<p>Rasio total pinjaman terhadap total ekuitas turun dari sebesar 536,02% sebelum PMHMETD menjadi sebesar 211,57% setelah PMHMETD. Hal ini menunjukkan bahwa komposisi ekuitas Perseroan meningkat dibandingkan dengan utangnya.<\/p>\n\n\n\n<p>\u201cRasio ini menjadi lebih baik karena menyeimbangkan struktur permodalan Perseroan antara ekuitas dan kewajiban,\u201d ujarnya.<\/p>\n\n\n\n<p>Anin mengatakan, rencana PMHMETD akan memberikan pengaruh kepada pemegang saham yang tidak melaksanakan HMETD miliknya untuk melakukan pembelian Saham Baru, yang mana persentase kepemilikan saham di Perseroan akan terdilusi hingga sebanyak-banyaknya 33,33% setelah dilaksanakannya HMETD.<\/p>\n\n\n\n<p><strong>Kinerja Keuangan<\/strong><\/p>\n\n\n\n<p>Perseroan mencatatkan pendapatan bersih sebesar Rp3,74 triliun di sepanjang tahun 2025. Meskipun pendapatan bersih ini turun sebesar 3,28% year on year (yoy) dibanding tahun sebelumnya, Perseroan berhasil menorehkan kenaikan laba bersih sebesar 49,6% senilai Rp 502,74 miliar di sepanjang tahun 2025. Angka ini naik sebesar Rp 166,69 miliar dibanding periode sama di tahun sebelumnya yang sebesar Rp 336,04 miliar.<\/p>\n\n\n\n<p>\u201cKami bersyukur di tengah kondisi ekonomi global yang tidak menentu, Perseroan mampu mencatatkan kinerja positif sepanjang tahun 2025,\u201d terang Direktur Keuangan BNBR Roy Hendrajanto M. Sakti.<\/p>\n\n\n\n<p>Pendapatan bersih Perseroan tersebut berasal dari PT Bakrie Metal Industries (\u201cBMI\u201d) Group sebesar Rp 2,18 triliun, PT VKTR Teknologi Mobilitas Tbk. (\u201cVKTR\u201d) Group  sebesar Rp 1,08 triliun, dan PT Bakrie Indo Infrastructure (BIIN) Group sebesar Rp 464,21 miliar.<\/p>\n\n\n\n<p><strong>VKTR Perkuat Peran Mobilitas Listrik Nasional<\/strong><\/p>\n\n\n\n<p>PT VKTR Teknologi Mobilitas Tbk (\u201cVKTR\u201d), bagian dari BNBR, mencatat pendapatan sekitar Rp1,08\u20131,1 triliun pada 2025, meningkat dibanding tahun sebelumnya, didorong implementasi bus listrik, kendaraan niaga listrik, serta kontribusi stabil dari bisnis komponen otomotif.<\/p>\n\n\n\n<p>VKTR menunjukkan ketahanan meskipun pasar otomotif nasional melambat, karena fokus pada kendaraan komersial yang didukung sektor logistik, infrastruktur, dan industri.<\/p>\n\n\n\n<p>Ke depan hingga 2030, VKTR memiliki potensi pertumbuhan signifikan seiring percepatan elektrifikasi transportasi di Indonesia, dengan fokus pada pengembangan bus listrik untuk transportasi publik serta truk listrik bagi sektor logistik, pertambangan, konstruksi, dan perkebunan. Pertumbuhan ini juga didukung oleh peningkatan TKDN, penguatan manufaktur domestik, dan pembangunan rantai pasok kendaraan listrik yang terintegrasi.<\/p>\n\n\n\n<p>VKTR telah menjalin kerja sama dengan operator transportasi publik seperti TransJakarta, kementerian, pemerintah daerah, BUMN, dan sektor swasta untuk implementasi kendaraan listrik di berbagai kota.<\/p>\n\n\n\n<p>Selain transportasi publik, kendaraan listrik komersial VKTR berpotensi menurunkan emisi pada sektor pertambangan, logistik, konstruksi, perkebunan, dan manufaktur sekaligus mengurangi konsumsi BBM serta biaya operasional. VKTR juga memperluas pemanfaatannya ke segmen Waste-to-Energy (WtE), termasuk penyediaan kendaraan listrik untuk pengangkutan sampah perkotaan yang diolah menjadi energi listrik guna meningkatkan efisiensi operasional pemerintah daerah sekaligus menekan emisi karbon.<\/p>\n\n\n\n<p>VKTR juga berupaya melengkapi ekosistem EV nasional melalui pengembangan infrastruktur pengisian daya, sistem operasional, komponen kendaraan listrik, serta potensi industri baterai, sejalan dengan agenda hilirisasi dan target Net Zero Emissions Indonesia 2060.<\/p>\n\n\n\n<p><strong>Raihan Unit Usaha Lain<\/strong><\/p>\n\n\n\n<p>Di sepanjang tahun 2025, unit usaha BNBR telah berhasil mengukir prestasi. Anak perusahaan BNBR di industri pipa baja, PT Bakrie Pipe Industries (\u201cBPI\u201d), mampu membukukan pendapatan sebesar Rp 1,76 triliun, turun  22,8% dibanding revenue di periode sama tahun 2024 yang sebesar Rp 2,29 triliun.<\/p>\n\n\n\n<p>PT Southeast Asia Pipe Industries (SEAPI) menorehkan pendapatan sebesar Rp194,54 miliar, atau naik 28,1% dibanding revenue di periode sama tahun 2024 yang sebesar Rp151,88 miliar. Kenaikan pendapatan SEAPI ini berasal dari sektor non Oil & Gas dan sektor Oil & Gas.<\/p>\n\n\n\n<p>PT VKTR Teknologi Mobilitas Tbk (\u201cVKTR\u201d) Group mencatatkan pendapatan sebesar Rp 1,08 triliun, atau naik 8,5% dibanding periode sama di tahun sebelumnya sebesar Rp 1,00 triliun. Kenaikan ini berasal dari pendapatan VKTR Holding, VKTS, dan BA Group.<\/p>\n\n\n\n<p>PT Bakrie Indo Infrastructure (\u201cBIIN\u201d) Group mencatatkan revenue sebesar Rp 464,21 miliar, atau naik 41,6% dibanding periode sama di tahun sebelumnya sebesar Rp 327,93 miliar. Kenaikan ini berasal dari kontribusi pendapatan PT Multi Kontrol Nusantara (\u201cMKN\u201d) Group, PT Cimanggis Cibitung Tollways (\u201cCCT\u201d), PT Helio Synar Energy, serta dukungan portofolio infrastruktur lainnya termasuk jaringan pipanisasi sebagai infrastruktur strategis untuk transportasi minyak dan gas.<\/p>\n\n\n\n<p>Di lini industri konstruksi dan EPC, PT Bakrie Construction (BCons) berhasil membukukan pendapatan sebesar Rp171,58 miliar, atau naik 330% dari periode sama di tahun sebelumnya sebesar Rp 39,9 miliar. This approval was obtained through the Company&#8217;s Extraordinary General Meeting of Shareholders (EGMS) held in Jakarta on Friday (February 27, 2026). &#8220;The Company considers it necessary to implement the Rights Issue to optimize the funding structure related to the Acquisition of PT Cimanggis Cibitung Tollways (CCT),&#8221; BNBR President Director &amp; CEO Anindya N. Bakrie told reporters after the EGMS. Through this Rights Issue, the Company will issue a maximum of 90 billion new Series E shares. The new shares will be issued from the Company&#8217;s portfolio and listed on the Indonesia Stock Exchange (&#8220;IDX&#8221;) in accordance with applicable laws and regulations. &#8220;The Company will use all proceeds from the Rights Issue to pay the Company&#8217;s and\/or its subsidiaries&#8217; obligations to creditors, as well as for working capital and business development at the Company and\/or its subsidiaries, including CCT,&#8221; added Anin. Financial Performance The Company recorded net revenue of IDR 3.74 trillion throughout 2025. VKTR Strengthens Role in National Electric Mobility PT VKTR Teknologi Mobilitas Tbk (&#8220;VKTR&#8221;), part of BNBR, recorded revenues of around IDR 1.08\u20131.1 trillion in 2025, an increase compared to the previous year, driven by the implementation of electric buses, electric commercial vehicles, and stable contributions from the automotive components business. VKTR has demonstrated resilience despite the slowing national automotive market, thanks to its focus on commercial vehicles supported by the logistics, infrastructure, and industrial sectors. Looking ahead to 2030, VKTR has significant growth potential as transportation electrification accelerates in Indonesia, with a focus on the development of electric buses for public transportation and electric trucks for the logistics, mining, construction, and plantation sectors. This growth is also supported by increased local content (TKDN), strengthening domestic manufacturing, and developing an integrated electric vehicle supply chain. VKTR has collaborated with public transportation operators such as TransJakarta, ministries, local governments, state-owned enterprises (SOEs), and the private sector to implement electric vehicles in various cities.
