Sementara itu, RUPS Tahunan BNBR yang telah dilakukan pada hari yang sama, juga menyetujui pengangkatan sebagian anggota Direksi dan Dewan Komisaris Perseroan.<\/p>\n\n\n\n<p>\u201cThat\u2019s right, with the approval of the EGMS earlier, the Company will immediately conduct PMTHMETD and reverse stock,\u201d Bobby Gafur Umar, Managing Director of BNBR, told reporters after the AGM. Explained by Bobby, PMTHMETD is the Company\u2019s action to avoid the potential for odd-share shares from the reverse stock exercise. \u201cReverse stock itself is one of the conditions that must be carried out by the Company in the process of restructuring the Company\u2019s debt,\u201d he said.<\/p>\n\n\n\n<p>Bobby menjelaskan, sebagai rangkaian dari proses restrukturisasi utang, Perseroan bermaksud melaksanakan PMTHMETD sebanyak 72 saham seri C dengan nilai nominal Rp 114 per saham dan sebanyak 551 saham seri D dengan nilai nominal Rp 50 per saham dengan harga pelaksanaan Rp 114 per saham sehingga total dana dari PMTHMETD adalah sebanyak-banyaknya berjumlah Rp 71.022. Perseroan melaksanakan PMTHMETD ini sesuai dengan POJK No. 38, khususnya pada butir (i). \u201cDana yang diperoleh dari pelaksanaan PMTHMETD ini seluruhnya akan digunakan untuk modal kerja Perseroan,\u201d kata Bobby.<\/p>\n\n\n\n<p>Direktur Keuangan BNBR, A. Amri Aswono Putro menambahkan, setelah PMTHMETD dilaksanakan, Perseroan berencana melaksanakan <i>reverse stock<\/I> terhadap seluruh saham Perseroan yang telah dikeluarkan dan disetor penuh. Setiap 10 saham dengan nilai nominal lama akan mengalami perubahan menjadi 1 saham dengan nilai nominal baru. \u201cPelaksanaan reverse stock ini tidak akan menyebabkan terjadinya perubahan terhadap jumlah modal ditempatkan dan disetor penuh maupun modal dasar,\u201d kata Amri, seraya menambahkan bahwa saham-saham baru dari reverse stock akan memiliki hak persentase yang sama, baik untuk hak suara maupun hak terhadap dividen dengan saham-saham lama.<\/p>\n\n\n\n<p>Sementara itu, RUPS Tahunan BNBR juga menyetujui pengangkatan Anindya Novyan Bakrie sebagai Komisaris Utama BNBR dan Firmanzah sebagai Komisaris Independen. \u201cJajaran Direksi Perseroan juga mendapat kekuatan baru dengan pengangkatan Anindra Ardiansyah Bakrie sebagai Wakil Direktur Utama. Kami optimis hal ini akan membawa pengaruh positif pada kinerja Perseroan,\u201d kata Bobby.<\/p>\n\n\n\n<p>Dengan perubahan pengurus ini, susunan Komisaris dan Direksi Perseroan adalah sebagai berikut: Anindya Novyan Bakrie sebagai Komisaris Utama, Firmanzah sebagai Komisaris Independen, dan Armansyah Yamin sebagai Komisaris. Direktur Utama Perseroan tetap dijabat oleh Bobby Gafur S.Umar, didampingi oleh Anindra Ardiansyah Bakrie sebagai Wakil Direktur Utama dan A.Amri Aswono Putro, RA Sri Dharmayanti sebagai Direktur serta Dody Taufiq Wijaya sebagai Direktur Independen.<\/p>\n\n\n\n<p>Kinerja Perseroan<\/p>\n\n\n\n<p>Pada kesempatan tersebut, Bobby Gafur Umar juga memaparkan ihwal perkembangan kinerja Perseroan dan kemajuan pembangunan sejumlah proyek di bidang infrastruktur dan manufaktur yang sedang digarap oleh Perseroan. Secara umum, menurut Bobby, pada tahun 2017 Perseroan mencatatkan kinerja yang lebih baik dibanding tahun 2016. \u201cKami juga tetap fokus untuk merevitalisasi neraca keuangan. Total utang Perseroan menurun lima persen pada tahun 2017 lalu, terutama disebabkan oleh penurunan pinjaman jangka panjang Perseroan yang telah dikonversi menjadi ekuitas,\u201d kata Bobby.<\/p>\n\n\n\n<p>Ditambahkannya, dari segi keuangan selama tahun 2017 Perseroan terus berupaya untuk menyehatkan neraca keuangan dengan melakukan beberapa langkah strategis. \u201cPenambahan Modal melalui skema PMTHMETD tahap kedua yang telah berhasil dilakukan pada triwulan akhir 2017 lalu adalah salah satu upaya,\u201d ujarnya. Ia mengatakan bahwa tahun 2017 lalu Perseroan berhasil membukukan pendapatan sebesar Rp.2,5 triliun, naik 18 persen dibanding tahun sebelumnya.<\/p>\n\n\n\n<p>Pada bagian lain dijelaskan juga ihwal kinerja unit-unit usaha Perseroan. Tiga unit usaha Perseroan yang bergerak masing-masing di bidang industri komponen otomotif, bahan bangunan serta fabrikasi dan konstruksi metal, yakni PT Bakrie Autoparts, PT Bakrie Building Industries dan PT Bakrie Metal Industries, saat ini sedang melakukan pengembangan bisnis di lini usaha masing-masing.<\/p>\n\n\n\n<p>\u201cPT Bakrie Autoparts akan melanjutkan upaya untuk ambil bagian dalam komponen kendaraan penumpang dan komponen pengganti. Sedangkan PT Bakrie Building Industries akan melanjutkan ekspansi produk bernilai tambah tinggi sehingga dapat meluaskan pasar ke segmen menengah-atas. Sementara, dengan mempertimbangkan kondisi industri migas dan baja, PT Bakrie Metal Industries akan meningkatkan kapasitasnya di bidang EPC serta fokus menggarap peluang di segmen konstruksi non-migas serta pipa baja untuk penggunaan sektor non-migas,\u201d kata Bobby Gafur Umar memberikan penjelasan.<\/p>\n\n\n\n<p>Di bidang infrastruktur, sejumlah unit usaha Perseroan juga sedang terlibat dalam beberapa proyek infrastruktur strategis. Di tahun 2017 Perseroan melanjutkan pengembangan beberapa kontrak infrastruktur dan bekerjasama dengan beberapa mitra strategis untuk pembangunan proyek Kalija Pipeline tahap 1. Saat ini jalur pipa tersebut telah beroperasi penuh sesuai dengan Gas Transportation Agreement dan mengalirkan gas dari Lapangan Kepodang menuju PLTG Tambak Lorok.
